• You will see advertising on the platform: In exchange for accessing the Services, Eventure and our third-party providers and partners may display advertising to you.
• When posting Content, you must comply with this User Agreement and Applicable Law: You are responsible for your use of the Services and your Content.
• You must abide by the Services' acceptable use terms: You may not access the Services in any way other than through the currently available, published interfaces that we provide.
• We have broad enforcement rights: We reserve the right to take enforcement actions if you violate these terms.
• There are Intellectual Property Licenses in these Terms: You retain ownership of your Content, and you provide us with a broad, royalty-free license to make your Content available.
• Your use of the Services is at your own risk: We provide the Services on an "AS IS" and "AS AVAILABLE" basis.

These Terms of Service ("Terms") govern your access to and use of our services, including our various websites, SMS, APIs, email notifications, applications, buttons, widgets, ads, commerce services (collectively, the "Services"), and any information, text, links, graphics, photos, audio, videos, or other materials uploaded, downloaded or appearing on the Services (collectively referred to as "Content").

These Terms are an agreement between you and Lucidity Networks LLC, with its registered office at [Your Address]. The words "we," "us," and "our" mean Lucidity Networks LLC.

1. Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access or use the Service.

2. User Accounts

When you create an account with us, you guarantee that:

• The information you provide is accurate, complete, and current
• You are 13 years or older
• You will maintain the accuracy of such information
• Your use of the Service will not violate any applicable law or regulation

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

3. User Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

4. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Lucidity Networks LLC and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Lucidity Networks LLC.

5. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or to solicit others to perform or participate in any unlawful acts
• To impersonate or attempt to impersonate the Company, another user, or any other person or entity
• To engage in any harassing, abusive, or harmful conduct
• To transmit any malware, viruses, or similar disruptive code

6. Event Creation and Participation

When creating or participating in events through our Service:

• You must provide accurate and truthful information about the event
• You are responsible for any costs or liabilities associated with your events
• We reserve the right to remove events that violate our policies
• We are not responsible for any damages or losses related to events

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

8. Disclaimers and Limitations of Liability

The Services are Available "AS-IS"

Your access to and use of the Services or any Content are at your own risk. You understand and agree that the Services are provided to you on an "AS IS" and "AS AVAILABLE" basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, LUCIDITY NETWORKS LLC AND ITS AFFILIATES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

NOTWITHSTANDING ANY OTHER TERMS TO THE CONTRARY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF LUCIDITY NETWORKS LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

9. Liquidated Damages

Protecting our users' data and our system resources is important to us. You agree that, to the extent permitted by applicable law, if you violate the Terms, or you induce or facilitate others to do so, in addition to all other legal remedies available to us, you will be jointly and severally liable to us for liquidated damages as follows for requesting, viewing, or accessing more than 1,000,000 posts in any 24-hour period - $15,000 USD per 1,000,000 posts.

10. Arbitration Agreement

Please read this section carefully as it affects your legal rights.

By agreeing to these Terms, you agree to resolve any and all disputes with us as follows:

• Initial Dispute Resolution: Most disputes can be resolved without resort to arbitration. You agree to contact us first at terms@goeventure.com with any concerns before seeking formal dispute resolution.
• Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Pennsylvania, before one arbitrator.
• Arbitration Procedures: The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.
• Individual Basis; No Class Actions: You and Lucidity Networks LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
• Costs of Arbitration: Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. We will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous.
• Opt-out Right: You have the right to opt out of this agreement to arbitrate by sending written notice of your decision to opt out to terms@goeventure.com within 30 days of first accepting these Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Pennsylvania and the laws of the United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. General

The laws of the Commonwealth of Pennsylvania, excluding its choice of law provisions, will govern these Terms and any dispute that arises between you and us. All disputes related to these Terms or the Services will be brought exclusively in the courts located in Pennsylvania, United States, and you consent to personal jurisdiction in those forums.

You and Eventure agree that you must initiate any proceeding or action within one (1) year of the date of the occurrence of the event or facts giving rise to a dispute. Otherwise, such claims are permanently barred.
